Published in line with the Information Technology Act, 2000 and the Information Technology (Intermediaries Guidelines) Rules, 2011.
This document is published by virtue of the legal requirement under the provisions of the Information Technology Act, 2000 that require intermediaries to publish the rules and regulations, privacy policy and terms for access or usage of their website/mobile app and is primarily governed by Rule 3 (1) of the Information Technology (Intermediaries Guidelines) Rules, 2011 and the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011.
The ZONING (hereinafter defined "www.zoning.in") refers to an internet based portal/platform having its registered office located at First Floor, Plot No-8, Unity Estate, Udhana-Sachin road, Surat-395023. The term on the ZONING may refer to one or more entities that are part of the Group. ZONING provides details and maps available to public use from different development authorities and also enables its users to either directly purchase the real estate asset or invest in pre-leased assets, commercial, retail, lands, warehousing, hotels, redevelopment projects etc.
Accordingly, the terms ZONING, website, "we", "our" and "us" in these Terms of Use may either refer to one or more entities, on a joint or several basis (as the context may require) that form part of the ZONING platform. Wherever the context so requires "You" or "Your" shall mean User and the term "We", "Us", "Our" shall mean Zoning.
These terms and conditions of use ("Terms of Use") describe the terms applicable to your use of the website, mobile-optimized versions of the website, digital applications, and any other media formats for the purposes of use and promotion of ZONING, and other products, software and services, which may be offered from time to time, on the ZONING or offline, owned or licensed and operated by ZONING and its affiliates, such as email, chat, bulletin board services, information related to recommendations, news groups, forums, communities, personal web pages, calendars, and/or other message (together the "Services").
Nothing contained on the ZONING should be construed as an authorization by the Securities and Exchange Board of India ("SEBI") to solicit investments, nor should the platform be construed as a SEBI-authorized crowdfunding platform or a stock exchange, or their equivalent. The ZONING is used by us to provide services to our registered users, and we do not seek to solicit investments from the public at large.
By accessing the ZONING, registering as a User, submitting any material, or using any of the Services, you expressly agree to accept these Terms of Use in full. Accordingly, if you disagree with these Terms of Use or any part of these Terms of Use, you may not access or otherwise use the ZONING or Services.
Unless the context otherwise requires, for the purpose of these Terms of Use, the following terms shall have the meaning ascribed to them hereunder.
"Applicable Law" means all laws, ordinance, statutes, rules, orders, decrees, injunctions, licences, permits, approvals, authorizations, consents, waivers, privileges, agreements and regulations of any governmental authority/court of law having jurisdiction over the relevant matter including any interpretations thereof, in effect.
"Intellectual Property Rights" means all patents, designs and drawings, trademarks, service marks, logos, domain names and utility models, copyrights, inventions, brand names and business names and any similar rights and the benefit (subject to the burden) of any of the foregoing (in each case whether registered or otherwise, and includes applications for the grant of any of the foregoing and the right to apply for any of the foregoing in any part of the world).
"Terms and Conditions" means these Terms of Use, Privacy Policy, Transaction Documents (if any) or any other document which outlines or governs the relationship between the User and ZONING regarding the use and access of Platform and Services.
"Transaction Documents" means the various documents required to be executed by a User that governs its relationship with ZONING.
"User" means you, and does not include your permitted assigns, successors, trustees, successors-in-interest, heirs and legal representatives and the like, unless the context requires otherwise; you, in the capacity of an individual, a guest user, browser and/or representative of an entity, who visits, accesses, uses, downloads, deals with, avails Services and/or transacts through the Zoning platform.
"User Account" means the personal online account created by a User to access and use the ZONING.
Subject to compliance with the Terms of Use and payment of fees (if and as applicable), ZONING grants you a non-transferable, non-exclusive licence to use the ZONING for your personal, non-commercial use.
All logos, brands, trademarks and service marks ("Marks") appearing on ZONING are the properties either owned or used under licence by ZONING and/or its associates, with all rights accruing from the same, statutory or otherwise. Access to this website does not confer upon you any licence or right to use these Marks, and any such use, in any form or manner, is strictly prohibited — any violation would constitute an offence under the prevailing laws of India.
ZONING respects the Intellectual Property Rights of all, and has and will continue to adhere to all applicable laws in India in this respect. ZONING shall protect and respect the Intellectual Property Rights of users as well as third parties to the best of its ability. Where a user is found using ZONING as a platform to infringe the Intellectual Property Rights of others, ZONING will be free to terminate this agreement forthwith without notice. You acknowledge that all Intellectual Property Rights in the ZONING are owned either by ZONING, ZONING's licensors, or content suppliers, and in no event by the User except as explicitly provided herein. Use of the ZONING does not transfer to you or any third party any rights, title or interest in such Intellectual Property Rights. You agree that all copyright and other proprietary notices on any ZONING content must be retained on all copies thereof.
The rights granted to you under these Terms of Use are subject to the restrictions below. You shall not:
— Access data not intended for you, or log into a server or account you are not authorized to access; attempt to probe, scan or test the vulnerability of a system or network; attempt or breach security or authentication measures without proper authorization; attempt to interfere with access to any other user, including by submitting a virus or Trojan horse, overloading, flooding, mail bombing or crashing;
— Copy, distribute, download, display, perform, reproduce, modify, edit, alter, enhance, broadcast or tamper with any material contained in ZONING except as permitted;
— Copy and distribute this information on any other server, or modify or re-use information, text, graphics or sound on this website on any other system. No reproduction of any part of the website may be sold or distributed for commercial gain, nor modified or incorporated into any other work, publication or website; nor may any copyright, trade mark or other intellectual property notice be removed from material copied or printed from ZONING, without our express written consent;
— Utilize the services offered by ZONING in any manner that impairs its interests and functioning; duplicate, download, publish, modify or distribute material on ZONING unless specifically authorized; establish any deep link or other connection to any specific page of ZONING other than the home page without prior consent; or use spiders, crawlers or other automated processes to copy or duplicate pages or content without written authorization;
— Use the services offered by ZONING to upload, post, email, transmit or otherwise make available, directly or indirectly, unsolicited bulk or commercial email. ZONING reserves the right to filter, monitor and block emails sent using its servers, and both ZONING and users shall abide by international best practices in containing and eliminating spam;
— Upload, post, transmit, update or share any information belonging to another person to which you do not have any right;
— Licence, sell, rent, lease, transfer, assign, distribute, host or otherwise commercially exploit the ZONING without express written consent;
— Access the ZONING in order to build a similar or competitive service;
— Copy, reproduce, distribute, republish, download, display or transmit any part of the ZONING for any commercial purpose or otherwise, without express written consent;
— Use the ZONING in any way that causes or may cause damage to the ZONING or its users, or impair its availability or accessibility, or in any way that is unlawful, illegal, fraudulent or harmful;
— Abuse, harass, impersonate, intimidate or threaten other users;
— Post or transmit any content that is harmful, infringing, libellous, defamatory, abusive, offensive, obscene, invasive of another's privacy, hateful, or objectionable on grounds of race or ethnicity, or that otherwise violates Applicable Law or a third party's rights, threatens India's unity, integrity, defence, security or sovereignty, its relations with foreign states, or public order, or insults another nation;
— Use the ZONING for any unauthorized purpose, or in violation of Applicable Law or these Terms of Use;
— Post or transmit any communication designed to obtain a password, account access, or private information from any user;
— Create or send unwanted email (spam) to any other user;
— Impersonate any person or entity, or misrepresent your affiliation with a person or entity;
— Infringe the Intellectual Property Rights of ZONING, other users, or any third party;
— Submit comments linking to affiliate programs, multi-level marketing schemes, or off-topic content;
— Post or transmit any material containing viruses or other code with malicious, disruptive or destructive features;
— Use any robot, spider, scraper or other automated means to access the ZONING for any purpose, or conduct systematic or automated data collection without express written consent;
— Use any part of the ZONING to transmit unsolicited commercial communications, or for marketing purposes, without express written consent;
— Take any action that imposes an unreasonable or disproportionately large load on our infrastructure;
— Sell or transfer your User Account, or allow a third party to use or access it; or
— Without our prior written consent, reverse engineer, frame, modify, copy, distribute, transmit, display, perform, reproduce, publish, licence, create derivative works from, transfer or sell any information or software obtained from the ZONING.
By registering an account with us ("Registered User"), you represent and warrant that you are of an age to enter into legally binding agreements under Applicable Law where you reside, that all information you submit is true, accurate and complete, and that you will comply with these Terms of Use. You further represent that you are an individual of legal age, or a HUF, company, trust or LLP eligible to form a binding contract under Applicable Law (or, if not, that you have obtained the necessary parental, guardian or governing-body permission).
You are solely responsible for maintaining the confidentiality of your User Account and log-in details; we are not responsible for misuse of your account by any third party, whether authorized by you or not. You may never use another user's account without their permission and ours, and you must not share your log-in details or put any account at risk.
You are responsible for any activity on the ZONING arising from a failure to keep your account confidential, and agree to notify us immediately of any unauthorized use or breach of security.
ZONING reserves the right to refuse access to any person or entity at its sole discretion, including by changing eligibility criteria at any time.
ZONING may allow a User to create more than one profile, especially for family members, relatives or affiliates. Where a profile is created under another User's profile, that User's consent is deemed given, and any action under your profile is deemed to have your consent and authorization. You may request to delink your profile at any time by emailing us; such requests will be processed promptly and a new profile created for you.
The ZONING might contain links to third-party websites, services and advertisements, and third-party websites may in turn link to the ZONING. Such third parties are not under the control of ZONING, and ZONING is not responsible for the information, content, products, services, advertising or other materials provided therein ("External Content"). We may also furnish reports, summaries, charts, data, valuation reports and analysis prepared by third parties ("Third Party Materials"); reliance on such materials is at your own risk, and you should always obtain independent business, legal and tax advice before making decisions. Inclusion of a link does not imply ZONING's endorsement, sponsorship or recommendation. We advise you to read the terms and privacy policies of any third-party website or service you access.
Our Privacy Policy is subject to change at any time without notice, and the updated version will be made available on the ZONING website. While we will try to keep you informed of any changes, you are advised to review the policy periodically.
— We collect information directly from you when you register for an account, post a comment, or ask us a question by phone or email. We use data collection devices such as "cookies" on certain pages to manage sessions, store preferences, serve ads, track information, analyze web page flow, measure promotional effectiveness, and promote trust and safety.
— We gather generic web metrics such as page views, user behaviour, link flow and other standard information modern browsers provide. Cookies may collect personal information such as your name, IP address, contact details, personal preferences and details of your use of the ZONING.
— You may accept or decline the use of cookies, whether registered with us or not, typically by configuring your browser — though declining may limit access to certain features. We may use tools like Google Analytics and browser cookies to collect usage information.
— To provide our Services, we may share your personal information with third parties and/or regulatory bodies, subject to Applicable Law. We may also allow third-party advertising and marketing companies to serve ads and content when you visit the ZONING and elsewhere, using cookies and information about your visits, buying behaviour, browsing history and preferences; we cannot control or access cookies used by these third parties. Third-party social media sites will share certain information — such as your name, email address and related information — when you link those accounts to your ZONING account.
— We may also provide your personal information to marketing services companies on an anonymous and aggregate basis, for their own marketing purposes, using information we received from you offline or online.
All information, content, materials, products (including software) and Services made available through the ZONING are provided "as is", without any implied or express representations or warranties, including implied warranties of merchantability, suitability and fitness for a particular purpose.
ZONING does not warrant that such information, content, materials, products or Services, ZONING's servers, or electronic communications sent by ZONING, are free of viruses or other harmful components.
ZONING shall not be liable for any damages whatsoever — direct, indirect, special, consequential, punitive or incidental, including for business losses, loss of contracts, profits, data or goodwill — arising out of or related to the use, inability to use, performance or failure of the ZONING, irrespective of whether such damages were foreseeable or arise in contract, tort, equity, restitution, statute or common law.
Without limiting the foregoing, ZONING does not warrant the completeness or accuracy of information published on it, that material is up to date, or that the ZONING or any service on it will remain available.
You understand and acknowledge that an investment in real estate assets is speculative in nature and involves a high degree of risk, including the risk of loss of capital, and is suitable only for sophisticated investors capable of bearing that risk as part of an overall investment strategy. No guarantee is made that you will achieve your investment objectives or receive a return of capital.
By registering on the Platform, you authorize and consent to ZONING sending promotional and marketing content via email, phone, SMS or other electronic and non-electronic means, and no such communication shall be deemed to violate any law relating to unsolicited commercial communication.
You agree not to bring any claim personally against our officers or employees in respect of losses suffered in connection with the ZONING or these Terms of Use.
The laws of certain jurisdictions do not allow limitations on implied warranties or the exclusion of certain damages; if such laws apply to you, some of the above disclaimers may not apply, and you might have additional rights.
We make no representation or warranty that the Platform will meet your requirements, be accurate or reliable, or be accessible in an uninterrupted, timely, secure or error-free manner, and access is contingent on your own internet connection.
If the ZONING is inaccessible due to technical problems or any other reason, users are not entitled to claim any loss or damage, and we are not obligated to compensate any user. If you are dissatisfied or harmed by the ZONING, your sole remedy is to terminate these Terms of Use by closing your account. It remains solely your responsibility to evaluate the accuracy, completeness and usefulness of all opinions, advice, services, merchandise and other information provided through the website.
Without prejudice to ZONING's other rights, if you breach these Terms of Use, or we reasonably suspect a breach, we may (1) temporarily suspend your access, (2) permanently prohibit access, (3) block devices using your IP address, (4) contact your internet service providers to request they block your access, (5) commence legal action, and/or (6) suspend or delete your User Account.
Either you or ZONING may terminate the relationship relating to use of the ZONING, with or without cause, effective immediately. Such termination governs only your usage of the ZONING; any services offered by an affiliate or third party continue to be governed by their own service agreements.
While ZONING will try to give prior notice of any account termination, it may under certain circumstances terminate immediately — including for breach of these Terms, requests from law enforcement or government agencies, or non-payment of fees owed. ZONING shall not be liable to you or any third party for termination or suspension. If you object to these Terms and Conditions, your only recourse is to discontinue use of the Platform and notify ZONING of such discontinuance.
Upon termination, your right to access or use the ZONING and Services ceases immediately, and ZONING has no obligation to complete uncompleted tasks or forward unread or unsent messages. Data stored on the ZONING may not be retrievable once your registration is terminated, cancelled or suspended.
If you choose to visit the website, your visit and any dispute over privacy is subject to this Policy and ZONING's Terms and Conditions of Use. Any disputes arising under this Policy shall be governed by the laws of India and the exclusive jurisdiction of the courts located at Ahmedabad, India.
